GIDIRA TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the Gidira platform, including the website, mobile applications, vendor tools, and all related services (“Gidira”, “the Platform”, “we”, “our”, “us”). By creating an account, accessing the Platform, or using any Gidira services, you agree to be bound by these Terms.
If you do not agree, you must not use Gidira.
1. About Gidira
Gidira is a digital business enablement platform designed to help individuals and businesses create, manage, and grow their commercial presence. The Platform provides tools for:
• Creating business pages
• Listing products and services
• Managing customer interactions
• Accessing business support services
• Participating in the Gidira marketplace
Gidira is operated by Gidira Nigeria Ltd, registered in Nigeria.
2. Eligibility
You may use Gidira only if:
• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You provide accurate and verifiable information
• You comply with all applicable laws in your jurisdiction
Businesses must ensure that the individual creating the business page has authority to act on behalf of the organisation.
3. Account Registration
To use Gidira, you must create an account by providing your name, email address or phone number, and a secure password.
By creating an account, you agree to:
• Keep your login details confidential
• Provide accurate information
• Update your details when necessary
• Accept responsibility for all activities under your account
If you are a business owner, you may be prompted to confirm that you want to create a business page.
4. Business Pages
Business owners can create a business page to showcase their products, services, and brand.
You agree that:
• All information provided on your business page must be accurate
• You are responsible for maintaining and updating your business page
• You must not impersonate another business or misrepresent your identity
• You must comply with all advertising, consumer protection, and business laws applicable to your operations
Gidira may offer additional paid services such as:
• Professional email setup
• Google Business Profile setup
• Business support packages
5. Marketplace Use
Vendors may list products and services on the Gidira marketplace.
You agree that:
• You are solely responsible for the accuracy of listings
• You must clearly disclose pricing, availability, and delivery terms
• You must honour all confirmed orders
• You must comply with all tax, regulatory, and licensing requirements applicable to your business
Gidira is not responsible for:
• The quality of products or services listed
• Disputes between buyers and vendors
• Delivery, fulfilment, or refunds
6. Payment Terms
Gidira operates a strict no‑cash policy.
All payments must be made via:
• Bank transfer
• Approved digital payment channels (where applicable)
You agree that:
• You will not request or accept cash payments through the Platform
• You are responsible for verifying payment before fulfilling orders
• Gidira is not liable for failed, delayed, or fraudulent payments
7. Fees and Charges
Some Gidira services may require payment, including:
• Vendor packages
• Business support services
• Promotional tools
• Platform upgrades
Fees will be communicated clearly before purchase. All fees are non‑refundable unless otherwise stated.
8. Prohibited Activities
You must not use Gidira to:
• Engage in fraud, deception, or illegal activities
• Sell prohibited or restricted items
• Violate intellectual property rights
• Spread harmful, abusive, or misleading content
• Interfere with platform operations
• Attempt to access accounts or data without authorisation
Gidira reserves the right to suspend or terminate accounts that violate these Terms.
9. Intellectual Property
All content, branding, software, and materials on Gidira are owned by Gidira Technologies Ltd or licensed to us.
You may not:
• Copy, modify, distribute, or reproduce platform content
• Use Gidira trademarks without written permission
You retain ownership of content you upload but grant Gidira a licence to display, distribute, and use it for platform operations.
10. Privacy
Your use of Gidira is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
By using the Platform, you consent to the processing of your information as described in the Privacy Policy.
11. Service Availability
Gidira may modify, suspend, or discontinue any part of the Platform at any time.
We do not guarantee:
• Continuous availability
• Error‑free operation
• Uninterrupted access
We are not liable for downtime, maintenance, or technical issues.
12. Limitation of Liability
To the fullest extent permitted by law:
• Gidira is not liable for indirect, incidental, or consequential damages
• Gidira is not responsible for vendor actions, buyer behaviour, or third‑party failures
• Your use of the Platform is at your own risk
13. Indemnity
You agree to indemnify and hold harmless Gidira Technologies Ltd from any claims, damages, losses, or liabilities arising from:
• Your use of the Platform
• Your business activities
• Your violation of these Terms
14. Termination
We may suspend or terminate your account if:
• You violate these Terms
• You engage in fraudulent or harmful behaviour
• You misuse the Platform
You may close your account at any time.
15. Changes to Terms
Gidira may update these Terms periodically. Continued use of the Platform after changes means you accept the updated Terms.
